Ad Spend & Media Management Policy

This policy outlines how Framework manages, allocates, and invoices paid media budgets (“ad spend”) on behalf of clients. Its goal is to ensure transparency, accountability, and clean financial handling for all paid advertising activity across platforms such as Meta, Google, TikTok, LinkedIn, and others.

  1. Definition of Ad Spend

    "Ad Spend" refers strictly to the money allocated toward paid advertising platforms. It is not included in any creative, social media, brand, or management plan unless explicitly stated.


    Ad Spend covers:


    • Media placements (Advertisements delivered on Meta, Google, TikTok, etc.)

    • Platform fees

    • Bid costs

    • Boosted post budgets

    • Retargeting budgets


    Ad Spend does not cover:

    • Strategy

    • Copywriting

    • Creative production (graphics, videos, photos, etc.)

    • Account setup

    • Landing pages

    • Monthly social media management or retainers


    Those are billed separately under service retainers.

  1. Budget Ownership

    Ad budgets always remain the client's funds. Framework manages these budgets on the client's behalf.


    Clients may choose:

    1. Client-Billed: Ad Spend is paid directly by the client to the platform.

    2. Framework-Billed: Framework processes spend through our own accounts and invoices the client for reimbursement.

      (This option requires preloading funds or maintaining a credit balance.)

  1. Media Management Fee

    Framework charges a media management percentage on total monthly ad spend. This covers ongoing optimization, reporting, monitoring, and strategic adjustments.

    Standard Tiers:

    • Monthly Ad Spend Under $5,000.00 will be subject to a 15-20% management fee. (Depending on complexity and number of platforms.)

    • Monthly Ad Spend Over $5,000.00 will be subject to a 10-15% management fee.

    • Monthly Ad Spend Over $20,000.00 will be subject to a custom percentage or flat-rate fee to be negotiated by the client.


    Minimum Fee:


    A minimum media management fee of $350.00 per month applies in any month where Ad Spend is active, regardless of amount.

  1. Billing Structure

    If the client pays Ad Spend directly to the platform:


    • Framework invoices only the management fee.


    If Framework processes Ad Spent through our own accounts:

    • Client pays a pre-funded balance (recommended for high-volume accounts).

    • Invoices will include:

      1. The Ad Spend amount

      2. The management fee

    • All funds must be received before campaigns go live or continue running.


    Late or insufficient funds may result in ads being paused.

  1. Scope of Media Management

    The management fee includes:


    • Campaign buildout

    • Audience development

    • Bid strategy adjustments

    • A/B testing

    • Weekly monitoring

    • Monthly performance reports

    • Budget optimization

    • Retargeting setup


    It does not include:


    • Photography

    • Videography

    • Graphic design

    • Creative concepting

    • Landing page creation

    • Social media content creation


    Those are separately billed services or included in your existing retainer.

  1. Creative Requirements

    Ads require creative assets.


    Clients may:


    • Provide their own creatives, or

    • Have Framework produce them at standard service rates, or

    • Use assets from their existing content plan/retainer when appropriate.


    Creative is not included in the management fee unless stated.

  1. Budget Changes

    Any adjustments to Ad Spend (increase, decrease, pause) must be communicated with at least 72 hours' notice, except in urgent cases.


    Short-notice changes may delay execution by up to 3 business days.

  1. Cancellations and Pauses

    Ad management services can be paused or cancelled with 30 days' written notice. Pauses shorter than 30 days still incur the minimum monthly fee to maintain campaign integrity, pixel tracking, and account health.

  1. Reporting

    Clients may elect to receive:


    • Monthly KPI summary

    • Budget allocation breakdown

    • Conversion insights

    • Recommendations for the following month


    Advanced reports (deep analytics, cohort analysis, custom dashboards) can be added for an additional fee.

  1. Compliance and Account Access

    Clients agree to grant Framework the necessary access to:


    • Advertising accounts

    • Pixels

    • Analytics

    • Landing pages


    Framework may decline to run campaigns that are deceptive, legally non-compliant, or misaligned with platform policies.
